Welcome to The Simple Platform (“TSP,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of TSP’s websites and services (the “Services”). By using TSP, you agree to comply with and be bound by these Terms. If you do not agree, please do not use the platform.

1. User Eligibility

TSP is designed for professional, academic, and research-oriented use. By accessing the Services, you represent that you are legally capable of entering into these Terms and that your use of TSP complies with applicable laws and regulations. TSP may impose reasonable eligibility or access controls at its discretion.

2. User Responsibilities

You agree to:

• Accept responsibility for all activity under your account
• Use the Services in a lawful and responsible manner

You agree not to use TSP in ways that are harmful, misleading, unlawful, or disruptive to the platform or other users.

4. Acceptable Use and Platform Integrity

TSP is designed for legitimate, human-directed use. You agree not to misuse or interfere with the Services. Prohibited conduct includes, but is not limited to:

• Automated or programmatic access intended to replace normal human usage
• Scraping, harvesting, or extracting platform data
• Reverse engineering or attempting to probe system architecture
• Circumventing safeguards, limits, or security mechanisms
• Activity that threatens platform stability, fairness, or security

TSP may employ reasonable monitoring and safeguards to protect Service integrity.

5. Data Collection, Privacy, and Anonymized Data

We collect and process information necessary to operate and improve the Services. Please review our Privacy Policy for details. TSP may generate anonymized, de-identified, or aggregated data derived from platform usage. Such data will not reasonably identify individual users and may be used for analytics, research, benchmarking, product improvement, or commercial purposes, including sharing with or licensing to third parties. TSP designs these processes to preserve user privacy and prevent re-identification.

6. Proprietary Rights

The TSP platform, Services, and associated intellectual property are the exclusive property of TSP and its licensors. You retain ownership of your Customer Data. By using TSP, you grant TSP a limited license to host, process, and display Customer Data solely for purposes of operating and improving the Services. Except as expressly permitted, you may not copy, modify, distribute, reverse engineer, or create derivative works from the Services.

7. Optional Introductions

TSP may offer users the ability to request or receive optional introductions or connections to third parties, such as collaborators, institutions, organizations, or service providers. Participation is strictly opt-in. TSP will not disclose personally identifying information for introduction purposes unless a user has explicitly chosen to participate. TSP acts solely as a facilitating intermediary and does not guarantee outcomes or third-party behavior.

8. Fees and Payment (If Applicable)

If you subscribe to paid Services, you agree to pay applicable fees as presented at the time of purchase. Fees are non-refundable except where required by law. Failure to pay may result in suspension or termination of Services.

9. Confidentiality

Both parties may receive information that is confidential in nature. Each party agrees to use such information solely for legitimate purposes related to the Services and not to disclose it except as required by law.

10. Indemnification

You agree to indemnify and hold harmless TSP from claims arising from:

• Your violation of these Terms
• Your misuse of the Services
• Your Customer Data or content

11. Disclaimer of Warranties

The Services are provided “as is” and “as available.” TSP makes no guarantees regarding outcomes, discoveries, professional results, or uninterrupted availability. In particular, TSP makes no guarantees of completeness or accuracy of any content or data it generates.

12. Limitation of Liability

To the fullest extent permitted by law, TSP shall not be liable for indirect, incidental, or consequential damages. TSP’s total liability for any claim shall not exceed the amount paid (if any) for the Services in the twelve (12) months preceding the date on which TSP is notified in writing of any claim.
